1. Hiểu thế nào là VSDC?
Dựa trên quy định của Luật Chứng khoán 2019, đã có nhiều thay đổi tích cực, trong đó một điểm được quan tâm là mô hình tổ chức của Trung tâm Lưu ký chứng khoán - một tổ chức trung gian quan trọng trong thị trường chứng khoán.
Về mặt hình thức, Trung tâm này được biết đến với tên giao dịch quốc tế là Vietnam Securities Depository and Clearing Corporation (VSDC), hay tên viết tắt là VSDC, có trụ sở chính tại Hà Nội và một chi nhánh tại TP.HCM.
Nhiệm vụ chính của Tổng công ty này là thực hiện các công việc liên quan đến giao dịch chứng khoán sau giao dịch, bao gồm thanh toán, bù trừ và lưu ký chứng khoán. Tổng công ty này được thành lập và hoạt động theo mô hình của công ty trách nhiệm hữu hạn hoặc công ty cổ phần, tuân thủ quy định của Luật chứng khoán. Trong vòng hai năm kể từ ngày Luật có hiệu lực thi hành, theo quy định của Luật chứng khoán 2019, VSDC sẽ chuyển đổi sang mô hình Tổng công ty với tên mới là Tổng công ty lưu ký và bù trừ chứng khoán Việt Nam.
Sự chuyển đổi này không chỉ làm nâng cao tầm quan trọng của VSDC mà còn mở ra khả năng mở rộng dịch vụ và hỗ trợ giao dịch cho thị trường, bao gồm triển khai chức năng đối tác trung tâm. Tổng công ty lưu ký và bù trừ chứng khoán Việt Nam sẽ hoạt động theo Luật Chứng khoán, Luật Doanh nghiệp, Luật Quản lý và sử dụng vốn nhà nước để đầu tư vào sản xuất, kinh doanh tại doanh nghiệp, cũng như tuân thủ quy định tại Điều lệ của Trung tâm Lưu ký Chứng khoán.
VSDC, or Vietnam Securities Depository and Clearing Corporation, is an essential intermediary organization within the securities market in Vietnam. As per the regulations of the Securities Law 2019, there have been several positive changes, notably regarding the organizational model of the Securities Depository Center.
In terms of structure, this center is internationally recognized as the Vietnam Securities Depository and Clearing Corporation (VSDC), abbreviated as VSDC, with its main headquarters located in Hanoi and a branch in Ho Chi Minh City.
The primary task of this corporation is to execute post-trade securities activities, including settlement, clearing, and securities depository. The corporation operates under the model of a limited liability company or a joint-stock company, in accordance with the provisions of the Securities Law. Within two years from the effective date of the Securities Law 2019, VSDC is mandated to transition to a corporation model with the new name of the Vietnam Securities Depository and Clearing Corporation.
This transition not only enhances the significance of VSDC but also expands its capacity to provide services and support transactions in the market, including deploying functions as a central counterparty. The Vietnam Securities Depository and Clearing Corporation will operate in compliance with the Securities Law, the Enterprise Law, and the Management Law, utilizing state capital for investment in production and business operations, while also adhering to the regulations outlined in the Securities Depository Center Charter.
2. Quy định pháp luật về Tổng công ty lưu ký và bù trừ chứng khoán Việt Nam
2.1. Chức năng
Nhiệm vụ của Tổng công ty lưu ký và bù trừ chứng khoán Việt Nam là tổ chức giám sát hoạt động đăng ký, lưu ký, bù trừ và thanh toán chứng khoán. Trong đó, việc đăng ký chứng khoán là quản lý và ghi nhận thông tin về quyền sở hữu và các quyền khác của người sở hữu chứng khoán.
Công ty này có chức năng tổ chức thực hiện các hoạt động liên quan đến chứng khoán, giám sát các giao dịch trên thị trường chứng khoán theo quy định của pháp luật. Ngoài ra, nó cũng thực hiện các chức năng khác được quy định trong Điều lệ tổ chức và hoạt động của mình.
Lưu ký chứng khoán bao gồm việc nhận, bảo quản và chuyển giao chứng khoán cho khách hàng, cung cấp hỗ trợ cho các quyền liên quan đến sở hữu chứng khoán như quyền bỏ phiếu, quyền nhận lãi, và quyền nhận cổ tức.
Bù trừ và thanh toán là bước cuối cùng để hoàn tất giao dịch chứng khoán, trong đó dữ liệu về kết quả giao dịch từ các sàn chứng khoán được chuyển đến Tổng công ty này để thực hiện bù trừ tiền thanh toán cho từng thành viên theo từng thị trường.
Tổng công ty này tuân thủ theo quy định của Luật Chứng khoán và điều lệ của trung tâm, và đồng thời phải tuân thủ sự giám sát của Uỷ ban chứng khoán Nhà nước.
Functions
The primary duty of the Vietnam Securities Depository and Clearing Corporation (VSDC) is to organize and supervise activities related to securities registration, depository, clearing, and settlement. Securities registration involves managing and recording information regarding ownership rights and other entitlements of shareholders.
The corporation is tasked with organizing activities related to securities and monitoring transactions in the securities market in accordance with the law. Additionally, it carries out other functions as stipulated in its organizational charter.
Securities depository entails receiving, safeguarding, and transferring securities for clients, providing support for ownership rights such as voting rights, dividend entitlements, and rights issues.
Clearing and settlement represent the final steps to complete securities transactions, wherein transaction data from stock exchanges is transferred to the corporation to settle payment obligations for each member according to market requirements.
The corporation operates in compliance with the Securities Law and its own charter, subject to supervision by the State Securities Commission.
2.2. Nhiệm vụ
Theo Điều 55 của Luật Chứng khoán 2019, Tổng công ty lưu ký và bù trừ chứng khoán Việt Nam có nhiều nghĩa vụ, bao gồm:
- Đảm bảo cơ sở vật chất và kỹ thuật phục vụ cho các hoạt động liên quan đến chứng khoán;
- Thực hiện chế độ kế toán, kiểm toán, thống kê, và báo cáo tài chính theo quy định của pháp luật;
- Giám sát các hoạt động đăng ký, lưu ký, bù trừ, thanh toán chứng khoán và tỷ lệ sở hữu của nhà đầu tư nước ngoài;
- Xây dựng quy trình hoạt động và quản lý rủi ro cho các nghiệp vụ;
- Bảo vệ cơ sở dữ liệu và lưu giữ các chứng từ gốc;
- Cung cấp thông tin về sở hữu chứng khoán và bảo mật thông tin khách hàng;
- Thực hiện công tác tuyên truyền, phổ biến kiến thức về chứng khoán và thị trường;
- Phối hợp với các cơ quan có thẩm quyền trong hoạt động chứng khoán và công tác điều tra vi phạm pháp luật;
- Quản lý tài sản của khách hàng và các quỹ hỗ trợ thanh toán, quỹ bù trừ, quỹ phòng ngừa rủi ro;
- Bồi thường thiệt hại cho khách hàng nếu không thực hiện nghĩa vụ gây thiệt hại;
- Hoạt động vì lợi ích của người gửi chứng khoán, người sở hữu chứng khoán;
- Tuân thủ các nghĩa vụ khác theo quy định của pháp luật và Điều lệ.
Luật cũng hạn chế Tổng công ty và thành viên lưu ký không được sử dụng chứng khoán của khách hàng để thanh toán nợ của mình, và phải bảo mật thông tin của khách hàng.
Duties
According to Article 55 of the Securities Law 2019, the Vietnam Securities Depository and Clearing Corporation has various obligations, including:
- Ensuring infrastructure and technical capabilities for securities-related activities.
- Implementing accounting, auditing, statistical reporting, and financial reporting regimes as per legal requirements.
- Monitoring securities registration, depository, clearing, settlement activities, and foreign investor ownership ratios.
- Developing operational procedures and risk management for business operations.
- Safeguarding databases and preserving original documents.
- Providing information on securities ownership and safeguarding client information.
- Conducting dissemination and education activities on securities and the market.
- Coordinating with authorized agencies in securities activities and law enforcement investigations.
- Managing client assets and support funds for payment, clearing, and risk prevention.
- Compensating clients for damages resulting from failure to fulfill obligations.
- Acting in the interest of securities issuers and shareholders.
- Complying with other legal obligations as stipulated.
The law also prohibits the use of client securities for settling corporate debts and mandates the protection of client information.
